AMENDMENT NO. 1 TO AGREEMENT NO. A2023-126
THIS AMENDMENT NO. 1 (“Amendment”) to Professional Services Agreement
No. A2023-126 (the “Agreement”)is entered into by and between the CITY OF CHINO
HILLS, a municipal corporation and general law city, hereinafter called “City,” and Onward
Engineering, a California corporation, hereinafter called “Consultant,” collectively referred
to as the “Parties.”
WHEREAS, the Parties entered into Professional Services Agreement No. A2023-
126 on June 27, 2023; and
WHEREAS, the Parties desire to amend the Agreement to increase the total
compensation by $3,155.15 and to expand the scope of services to add additional tasks
to the Site Research and Final Design Phases.
NOW, THEREFORE, in exchange for valuable consideration, the receipt of which
is hereby acknowledged, the Parties agree as follows:
1. Addition of “Exhibit C – Additional Services and Compensation” shall be
included in the Agreement in its entirety.
2. Section 5 (“Compensation and Method of Payment”) is amended to read as
follows:
“5. COMPENSATION AND METHOD OF PAYMENT.
Compensation to the Consultant shall be as set forth in Exhibits B
& C, attached hereto and made a part hereof. Total compensation
shall not exceed $75,491.15. Payments shall be made within forty-
five (45) days after receipt of each invoice as to all undisputed fees.
If the City disputes any of Consultant’s fees it shall give written
notice to Consultant within 30 days of receipt of an invoice of any
disputed fees set forth on the invoice.”
3. Section 24 is amended to add below subparagraph B:
“C. Exhibit C – Additional Services and Compensation”
4. This Amendment may be executed in duplicate originals, each of which is
deemed to be an original, and may be executed in counterparts. Electronically
signed copies of this Amendment utilizing technology which conforms to the
requirements in both Government Code Section 16.5 and 2 California Code
of Regulations Section 22003 shall legally bind the parties to the same extent
as original documents.
6. Except as modified by this Amendment No. 1, all other terms and conditions
of the Agreement remain the same.
